A share certificate is a written record of the shares in a company being issued to a person or an organisation. It is a legal document proving ownership of a specified number of shares. When new shares are issued a share certificate should be completed to record this and an entry made in the company register. Shares are always issued when a new UK limited company (limited by shares) is formed. They can also be issued in existing companies or shares can be transferred.
